Re: Confidentiality and Non Circumvention Agreement and Undertaking

agree with Massterra Limited and hereby enter into this Confidentiality
Agreement, the terms and conditions of which are outlined below:-

A. Massterra Limited have formulated ideas relating to a project of
interest- possible development of mass produced space crafts
("the Project") and is the sole owner of confidential information.

B. To enable you to evaluate the potential of the Project and with a view
to entering into a co- operative agreement for the further development of
the said Project the owner is willing to disclose information relating to
their criteria for purchase to me under conditions of confidentiality set
out herein.

C. Massterra Limited will disclose information ("the Information") which
relates to the project including without limitation data, know-how,
formulae, purchases, specifications, and samples and other material bearing
or incorporating information relating to the project.

D. In consideration of the Owner disclosing such Information I undertake :-
a. to use the Information exclusively for the purpose of evaluating the
commercial exploitation of the Project with a view to entering into a co-
operative agreement with Massterra Limited.
b. to maintain as confidential the Information and any further information
relating thereto.
c. to keep separate all Information and all information generated by me
based thereon from all documents and other records of mine.
d. on request of Massterra Limited made at any time I shall deliver up
(which expression shall include erasure of computer stored Information) to
the Owner all documents including all copies hereof and other materials in
the possession, custody or control of me that bear or incorporate any part
of the Information.

E. I acknowledge that I shall have no legal rights whatsoever in the
Information or any portion thereof and no right to obtain intellectual
property rights in any of the same or in any embodiment thereof.

F. This Agreement shall be governed by the laws of England and the parties
submit to the exclusive jurisdiction of the courts of England and Wales over
any claim or matter arising under or in connection with this Agreement.
